German operator Merkur Casinos is acquiring a 95 per cent stake in French casino group Casigrangi from GPG Groupe Philippe Ginestet and DOFA for €31.5 million. Casigrangi owns the Stelsia brand and operates seven casinos in France.
Three properties — Megève, Granville and Mimizan — are directly managed, while four others (Gruissan, Port-la-Nouvelle, Collioure and Châtel-Guyon) run through subsidiary Société Française de Casinos. DOFA will retain the remaining 5 per cent.
The transaction will trigger a mandatory tender offer for SFC minority shares at €6.19 per share. Merkur plans to file with French regulator AMF in the first half of 2027, assuming the deal closes in Q1. The company intends to delist SFC in the long term.
Closing requires approval from France's Ministry of the Interior and consultation with the Gruissan casino works council. SFC expects revenue of around €22.5 million for the year.
Merkur operates 18 casinos in Germany and holds stakes in seven more. The group acquired ten properties in Lower Saxony in 2025. It runs venues in the Czech Republic and the UK — Aberdeen, Milton Keynes, Leeds — and casino concessions on cruise ships. The Casigrangi deal strengthens Merkur's position in the French land-based market.
