What general-counsel-advisor does

The plugin runs two checks. The contract risk scanner looks for 12 patterns that hurt founders: auto-renew traps, uncapped indemnity, vague IP wording, MFN pricing, a missing DPA, one-sided venue, broad non-solicit, perpetual license-back. The term sheet analyzer scores founder-friendliness from 0 to 100 across 12 dimensions, among them liquidation preference, anti-dilution, option pool, board, vesting, drag-along, protective provisions, information rights, dividends and valuation.

Three references ship with it: a contracts playbook covering 7 startup contract types, an IP and regulatory map (HIPAA, GDPR, FDA, fintech, EU AI Act, plus SOC 2 to ISO sequencing), and a term sheet decoder with a glossary and founder-friendly defaults. It installs standalone, and the same skill is bundled in c-level-skills; scripts/sync_skill_bundles.py keeps the two copies aligned.

This is a triage layer, not legal advice. It catches obvious traps before you hand documents to licensed counsel, and binding decisions still belong there. No dependencies beyond the Python standard library.

What it helps with

  • spot an auto-renew clause and uncapped liability before signing
  • score a term sheet and see how far it leans against the founder
  • work out which regulatory regimes apply to the product
  • check whether IP ownership is worded loosely
  • look up term sheet terms before a negotiation

Example prompts for the agent

  • scan this contract for founder-killer patterns
  • score this term sheet for founder-friendliness
  • which regulatory requirements apply to our product in the EU
