Drafts process letters and bid instructions for sell-side M&A: from first indications of interest to final bids and management meetings.
npx skills add anthropics/financial-services --skill process-letter -a claude-codeWhat process-letter does
The skill walks through the letter in steps. First you pick the type: an initial process letter, IOI instructions, a second-round or final bid letter, or a management meeting invitation. Then it lays out the structure — header with date and deal code name, sections for process overview, bid requirements, submission deadline and a confidentiality reminder.
The final round asks for more: a markup of the purchase agreement, committed financing letters, remaining diligence items, exclusivity terms, antitrust filing analysis and the criteria used to evaluate bids. A management meeting invitation covers logistics, attendees, agenda, ground rules and materials.
Output is a .docx with letter formatting, a firm letterhead placeholder and a track-changes version for client review. The skill advises 2–3 weeks for IOIs and 3–4 weeks for final bids, and says legal and the client should sign off before anything goes out. Skip that and the letter carries representations you had no authority to make.
What it helps with
- draft an initial process letter with IOI requirements
- spell out timeline and number of rounds for bidders
- write a final round letter with purchase agreement markup
- set up a management meeting invite and agenda
- state the evaluation criteria bidders will be judged on
Example prompts for the agent
- Draft the process letter for the deal code-named Project Atlas
- Write IOI instructions covering valuation range, consideration form and financing sources
- Prepare the management meeting invitation with logistics, attendees and agenda
