## What it does

The skill drafts a unanimous written consent of the board or a committee in house format. It reads `## Board & Secretary` from `~/.claude/plugins/config/claude-for-legal/corporate-legal/CLAUDE.md` for three things: the consents repository, the resolution wording the company uses, the state of incorporation. Then it pulls the closest precedent and adapts it to the action at hand. You get the draft, a signatory checklist and review prompts.

Every action is classified as routine or review-flag. The second bucket is the heavy stuff: M&A, financing rounds, dissolution, capital structure changes, material real estate. The skill shows a scope warning and waits for confirmation. Director conflicts get their own flag.

One gate is hard. A major one-off action plus a request to sign the same day means it will draft, but won't mark the consent ready to sign without outside counsel until you pick one of the two paths it offers. Plain limitation: no consents repository configured and no seed document means work stops before drafting starts. Check the setup before somebody needs a signature, not during.

## Install

### Claude Code (native platform)

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill written-consent -a claude-code
```

2. **Manually: put the files in place**
- File: `~/.claude/skills/written-consent/SKILL.md` — Copy the whole skill folder; for one project use .claude/skills/written-consent/

### Codex

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill written-consent -a codex
```

2. **Manually: put the files in place**
- File: `.agents/skills/written-consent/SKILL.md` — For all projects use ~/.agents/skills/

### Cursor

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill written-consent -a cursor
```

2. **Manually: put the files in place**
- File: `.cursor/skills/written-consent/SKILL.md` — Cursor also reads .agents/skills/ and .claude/skills/

### GitHub Copilot

1. **GitHub CLI**
```bash
gh skill install anthropics/claude-for-legal written-consent
```

2. **Manually: put the files in place**
- File: `.github/skills/written-consent/SKILL.md`

### Gemini CLI

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill written-consent -a gemini-cli
```

2. **Platform CLI**
```bash
gemini skills install https://github.com/anthropics/claude-for-legal --path corporate-legal/skills/written-consent
```

### Windsurf (Devin Desktop)

**Manually: put the files in place**
- File: `.devin/skills/written-consent/SKILL.md` — The legacy .windsurf/skills/ path still works

### OpenCode

**Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill written-consent -a opencode
```

### Claude.ai

**Claude.ai**

## When to use it
- draft a unanimous board consent without calling a meeting
- find the nearest precedent in the consents repository
- flag a conflict of interest for a single director
- apply the state's notice requirements
- build the signatory list from board composition

## Example prompts
- \`/written-consent` appoint a new CFO and approve the option grant
- \`/written-consent` authorize a new bank account, use the closest precedent
- I need a board consent in lieu of a meeting to hire the auditor — state of incorporation is in the config

  Draft a unanimous written consent of the board or a committee in house format,

# /written-consent

1. Load `~/.claude/plugins/config/claude-for-legal/corporate-legal/CLAUDE.md` → Board & Secretary (consents repository, resolution language, state of incorporation, board composition).
2. Use the workflow below.
3. Identify the action and classify (routine / review-flag).
4. If review-flag: show outside counsel warning and confirm before proceeding.
5. Search consents repository for closest precedent. If no repository: use seed consents from `~/.claude/plugins/config/claude-for-legal/corporate-legal/CLAUDE.md`.
6. Draft consent in house format using precedent as base.
7. Output: consent draft + signatory checklist + review prompts.

## Matter context

**Matter context.** Check `## Matter workspaces` in the practice-level CLAUDE.md. If `Enabled` is `✗` (the default for in-house users), skip the rest of this paragraph — skills use practice-level context and the matter machinery is invisible. If enabled and there is no active matter, ask: "Which matter is this for? Run `/corporate-legal:matter-workspace switch <slug>` or say `practice-level`." Load the active matter's `matter.md` for matter-specific context and overrides. Write outputs to the matter folder at `~/.claude/plugins/config/claude-for-legal/corporate-legal/matters/<matter-slug>/`. Never read another matter's files unless `Cross-matter context` is `on`.

## Purpose

Most routine board approvals don't need a meeting. Officer appointments, equity grants, bank authorizations, contract approvals above the officer threshold, intercompany arrangements — these happen by unanimous written consent. This skill drafts them quickly in your house format, finds the prior consent that's closest to what you need, and flags the actions where you should be getting outside counsel eyes before anyone signs.
