## What it does

The skill lays out the FINRA and SEC rules that govern broker-dealer conduct. It covers Rule 2010 and Rule 2020, churning and excessive trading, mutual fund breakpoint discounts, selling away under Rule 3280, unauthorized trading, senior investor protections and trusted contact persons, variable annuity suitability, and options account approval.

Churning is split into two frameworks with different elements. Fraud-based churning under Rule 10b-5 needs control over trading decisions plus scienter. Quantitative suitability under Rule 2111.05(c) dropped the control element after the 2020 amendments, so a broker who recommends a series of transactions needs a reasonable basis that the series is not excessive. The metrics are spelled out: a turnover ratio above 6 is presumptive evidence of excessive trading, 4–6 depends on account type and objectives, and a cost-to-equity ratio above 20% means the account must earn more than 20% a year just to break even.

Regulatory status is stated as current to June 2026, and the skill itself says to verify effective dates, dollar thresholds and pending rulemakings against current SEC, FINRA and FinCEN sources before advising. Treat it as a framework for review, not a legal opinion.

## When to use it
- compute turnover and cost-to-equity ratios for a client account
- work out whether a rep traded without authorization
- check if a client lost a mutual fund breakpoint discount
- assess selling away and private securities transactions
- set up supervision for senior investor accounts and trusted contacts

## Example prompts
- the turnover ratio on this client account is above 6 — is that churning?
- the rep did trades without authorization, what rules were broken
- the client bought a fund in pieces and never got the breakpoint discount, walk me through it

# Sales Practices

Regulatory status current as of June 2026 — verify effective dates, dollar thresholds, and pending rulemakings against current SEC/FINRA/FinCEN sources before advising.

## Core Concepts

### FINRA Rule 2010 — Standards of Commercial Honor
FINRA Rule 2010 is the catch-all ethical standard for all member firms and associated persons. It requires adherence to "high standards of commercial honor and just and equitable principles of trade." This rule is intentionally broad and serves as the basis for disciplinary action even when no other specific rule is violated. Conduct that is unethical, dishonest, or in bad faith — even if technically legal — can be sanctioned under Rule 2010. FINRA enforcement frequently pairs Rule 2010 with more specific rule violations as a supplementary charge. Examples of standalone Rule 2010 violations include forgery, misrepresentation of credentials, conversion of client funds, and failure to disclose material information.
