## What it does

The skill loads when `/commercial-legal:review` detects a SaaS or subscription agreement. It runs the standard playbook checks — liability, indemnity, termination, governing law — then adds an overlay for subscription deals.

Four areas get a closer look: auto-renewal mechanics (term length, notice-to-cancel window, notice method, renewal price), price escalation (annual escalator, usage overage rates, what counts as "fees"), data portability and exit, plus uptime SLAs and subprocessor rights. No thresholds ship with the skill. It reads your team's positions from `~/.claude/plugins/config/claude-for-legal/commercial-legal/CLAUDE.md`, and when a term isn't covered there, it asks for the position and records it.

Before anything runs, you have to settle which side the company is on — vendor or customer — because the playbook differs. If the matching side is `[Not configured]`, run `/commercial-legal:cold-start-interview --side <side>` first. Subscription terms are jurisdiction-sensitive, so if the agreement picks a governing law other than the one in your config, the analysis may not transfer as written. That's worth a manual check. Citations come back tagged, for example `[web search — verify]`, and the tags stay.

## Install

### Claude Code (native platform)

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill saas-msa-review -a claude-code
```

2. **Manually: put the files in place**
- File: `~/.claude/skills/saas-msa-review/SKILL.md` — Copy the whole skill folder; for one project use .claude/skills/saas-msa-review/

### Codex

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill saas-msa-review -a codex
```

2. **Manually: put the files in place**
- File: `.agents/skills/saas-msa-review/SKILL.md` — For all projects use ~/.agents/skills/

### Cursor

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill saas-msa-review -a cursor
```

2. **Manually: put the files in place**
- File: `.cursor/skills/saas-msa-review/SKILL.md` — Cursor also reads .agents/skills/ and .claude/skills/

### GitHub Copilot

1. **GitHub CLI**
```bash
gh skill install anthropics/claude-for-legal saas-msa-review
```

2. **Manually: put the files in place**
- File: `.github/skills/saas-msa-review/SKILL.md`

### Gemini CLI

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill saas-msa-review -a gemini-cli
```

2. **Platform CLI**
```bash
gemini skills install https://github.com/anthropics/claude-for-legal --path commercial-legal/skills/saas-msa-review
```

### Windsurf (Devin Desktop)

**Manually: put the files in place**
- File: `.devin/skills/saas-msa-review/SKILL.md` — The legacy .windsurf/skills/ path still works

### OpenCode

**Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill saas-msa-review -a opencode
```

### Claude.ai

**Claude.ai**
- Zip the folder and upload it in Settings → Capabilities → Skills

Where a file is given instead of a command, copy the files from the source to that path: https://github.com/anthropics/claude-for-legal/tree/HEAD/commercial-legal/skills/saas-msa-review/SKILL.md

## When to use it
- catch the renewal notice window before the contract rolls over
- compare the annual escalator against your team's position
- check data export rights on exit from the service
- assess SLA thresholds and subprocessor approval rights
- record the exact renewal date and notice window

## Example prompts
- Review this SaaS agreement: auto-renewal, price escalation, data portability, SLA
- Run this subscription contract against our playbook and show where it diverges
- We're the customer here. Run /commercial-legal:review on this MSA

# SaaS / Subscription Agreement Review

## Matter context

**Matter context.** Check `## Matter workspaces` in the practice-level CLAUDE.md. If `Enabled` is `✗` (the default for in-house users), skip the rest of this paragraph — skills use practice-level context and the matter machinery is invisible. If enabled and there is no active matter, ask: "Which matter is this for? Run `/commercial-legal:matter-workspace switch <slug>` or say `practice-level`." Load the active matter's `matter.md` for matter-specific context and overrides. Write outputs to the matter folder at `~/.claude/plugins/config/claude-for-legal/commercial-legal/matters/<matter-slug>/`. Never read another matter's files unless `Cross-matter context` is `on`.

## Purpose

SaaS agreements have a distinct risk profile from one-time vendor contracts. The dollars compound over renewals, the data accumulates, and the switching cost grows every month. This skill reviews with that in mind.

It runs the standard playbook check from `~/.claude/plugins/config/claude-for-legal/commercial-legal/CLAUDE.md` and adds a SaaS-specific overlay on the terms that bite hardest in subscription deals.

## Jurisdiction assumption

SaaS terms (auto-renewal notice requirements, price-escalation caps, data-portability mandates, subprocessor rules) are jurisdiction-sensitive — California, New York, and EU rules diverge materially, and some states have auto-renewal statutes that override private contract terms. This review applies the team's positions from `~/.claude/plugins/config/claude-for-legal/commercial-legal/CLAUDE.md`, which assume the governing law recorded there. If the agreement picks a different governing law, or the deal spans jurisdictions with statutory overrides (e.g., EU-based users, California consumers), flag it — the analysis may not transfer as written.
