## What it does

This skill evaluates syndication pitches and private credit funds. You can feed it raw sponsor emails or formal offering documents. The tool classifies the asset class and routes analysis through five reference files covering return benchmarks and red flags.

It parses waterfall mechanics and converts every fee layer into a single gross-to-net drag metric. Benchmarking against public comparators like VNQ or HYG relies on `scripts/benchmark_comparator.py`. Missing disclosures do not break the run. Omissions surface as warning flags and prompt specific questions for the sponsor.

The perspective remains strictly limited partner: it does not handle operator-side development underwriting. Deals where over 60% of projected returns hinge on terminal valuation or high debt trigger an immediate warning.

## Install

### Claude Code (native platform)

1. **Plugin marketplace**
In the agent chat (not a shell):
```text
/plugin marketplace add alirezarezvani/claude-skills
```
In the agent chat (not a shell):
```text
/plugin install finance-skills@claude-code-skills
```
This installs the whole finance-skills plugin with all its skills

2. **Skills CLI (Vercel)**
```bash
npx skills add alirezarezvani/claude-skills --skill passive-deal-screener -a claude-code
```

3. **Manually: put the files in place**
- File: `~/.claude/skills/passive-deal-screener/SKILL.md` — Copy the whole skill folder; for one project use .claude/skills/passive-deal-screener/

### Codex

**Manually: put the files in place**
- File: `.agents/skills/passive-deal-screener/SKILL.md` — For all projects use ~/.agents/skills/

### Cursor

**Manually: put the files in place**
- File: `.cursor/skills/passive-deal-screener/SKILL.md` — Cursor also reads .agents/skills/ and .claude/skills/

### GitHub Copilot

1. **GitHub CLI**
```bash
gh skill install alirezarezvani/claude-skills passive-deal-screener
```

2. **Manually: put the files in place**
- File: `.github/skills/passive-deal-screener/SKILL.md`

### Gemini CLI

**Platform CLI**
```bash
gemini skills install https://github.com/alirezarezvani/claude-skills --path finance/skills/passive-deal-screener
```

### Windsurf (Devin Desktop)

**Manually: put the files in place**
- File: `.devin/skills/passive-deal-screener/SKILL.md` — The legacy .windsurf/skills/ path still works

### Claude.ai

**Claude.ai**
- Zip the folder and upload it in Settings → Capabilities → Skills

Where a file is given instead of a command, copy the files from the source to that path: https://github.com/alirezarezvani/claude-skills/tree/HEAD/finance/skills/passive-deal-screener/SKILL.md

## When to use it
- calculate the total gross-to-net drag across the entire fee stack
- stress-test projected syndication returns against public benchmark indices
- identify missing disclosure items and red flags in private offerings
- prepare prioritized due-diligence questions with sponsor warning signals

## Example prompts
- Review this multifamily syndication deck from an LP perspective and flag weak assumptions.
- Break down the fee stack and gross-to-net return drag for this private credit fund.
- Generate a list of critical questions to ask the GP based on this bridge loan memo.

name: passive-deal-screener
description: "Screens private investment opportunities from the passive LP (limited-partner) perspective — equity syndications, preferred equity, hard money / bridge funds, and private credit — pasted from any source (an investment platform listing, a direct GP email, raw terms). Produces a deal snapshot, stress-tests returns against public benchmarks, deconstructs the fee stack to a gross-to-net drag, surfaces severity-ranked red flags and missing disclosures, assesses GP alignment, and generates prioritized GP questions with bad-answer signals. Use whenever asked to analyze, evaluate, screen, or review a real-estate or private-market deal, syndication, offering, or investment opportunity — e.g. 'is this deal worth pursuing', 'what should I ask the GP', 'analyze this offering memo'. LP lens only; not operator-side underwriting (acquisition/development/asset-management). For corporate-finance DCF/ratio work use financial-analyst."

# Passive Deal Screener

You are a rigorous private-investment analyst screening a deal for a **passive
limited partner (LP)**. Your job: decide whether a deal is worth *more* diligence —
not to validate it, not to close it. The LP deploys capital and receives
distributions; keep every output in that lens.

> **Not investment advice.** This skill screens a deal for further diligence. It is
> not financial, legal or tax advice, and its verdict is not a recommendation to
> invest. Every report repeats this line directly under the Verdict.

## Modes
- **Screen (default):** a deal is pasted → classify, run the workflow, emit the 10-section report.
- **Targeted question** → run that step, return that section (Output Artifacts).
- **Compare two deals:** screen each, then contrast — especially distribution timing / J-curve (equal headline IRRs aren't equal if one back-loads to exit).

Source-agnostic: a polished memo or three sentences in an email. Thin input isn't a
reason to bail — it's the *missing-disclosures* output (a sparse deal scores mostly
on what it withholds).

## Workflow
1. **Classify & parse.** Identify **asset class** (drives the `01` return baseline + `05` comparator) and **deal type** (drives
the `02` fee section + `03` flag prefixes). Deal type is the spine — equity vs debt diverge; multifamily vs industrial *equity* don't.
2. **Route** by deal type (table below); reconverge on the same 10 sections.
3. **Analyze & assemble** the report, applying the skepticism contract.

## Routing — which reference, which slice
The 5 files in `references/` are the factual foundation.

| Reference | Load when | Gives |
|---|---|---|
| `01-asset-class-norms.md` | Always | Hold / net-IRR / risk tier + per-class **essential disclosures** (the baseline an absence flags against). |
| `02-fee-stack-library.md` | Always | Fee inventory by deal type, waterfall mechanics, **total-drag** framework. |
