## What it does

The skill owns one YAML file, `compliance-tracker.yaml`, under `~/.claude/plugins/config/claude-for-legal/corporate-legal/entities/`. It seeds that file from the entity table in the plugin's `CLAUDE.md`, then computes filing deadlines per entity and per jurisdiction. Flags pick the mode: `--init` builds the tracker, `--report --days N` lists what is due soon or already late, `--sweep` walks unknown items one by one, `--audit` runs a full health check, `--export --format csv` writes a file you can hand over.

Entity type matters more than the state. Delaware shows the split: a corporation files an annual report and franchise tax by March 1, an LLC files no report and pays a flat $300 by June 1. So the skill reads the type from the entity table and marks a missing one `type_unknown` rather than guessing. Deadlines come from a reference table fixed at the skill's build date, and the skill says so itself: confirm them with your registered agent or the Secretary of State, since states do change the rules. Foreign qualification or filings run by a local agent abroad will drift from that table. That is the point to check your own data first.

## Install

### Claude Code (native platform)

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill entity-compliance -a claude-code
```

2. **Manually: put the files in place**
- File: `~/.claude/skills/entity-compliance/SKILL.md` — Copy the whole skill folder; for one project use .claude/skills/entity-compliance/

### Codex

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill entity-compliance -a codex
```

2. **Manually: put the files in place**
- File: `.agents/skills/entity-compliance/SKILL.md` — For all projects use ~/.agents/skills/

### Cursor

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill entity-compliance -a cursor
```

2. **Manually: put the files in place**
- File: `.cursor/skills/entity-compliance/SKILL.md` — Cursor also reads .agents/skills/ and .claude/skills/

### GitHub Copilot

1. **GitHub CLI**
```bash
gh skill install anthropics/claude-for-legal entity-compliance
```

2. **Manually: put the files in place**
- File: `.github/skills/entity-compliance/SKILL.md`

### Gemini CLI

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill entity-compliance -a gemini-cli
```

2. **Platform CLI**
```bash
gemini skills install https://github.com/anthropics/claude-for-legal --path corporate-legal/skills/entity-compliance
```

### Windsurf (Devin Desktop)

**Manually: put the files in place**
- File: `.devin/skills/entity-compliance/SKILL.md` — The legacy .windsurf/skills/ path still works

### OpenCode

**Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill entity-compliance -a opencode
```

### Claude.ai

**Claude.ai**
- Zip the folder and upload it in Settings → Capabilities → Skills

Where a file is given instead of a command, copy the files from the source to that path: https://github.com/anthropics/claude-for-legal/tree/HEAD/corporate-legal/skills/entity-compliance/SKILL.md

## When to use it
- build the filing tracker from the entity table in one command
- spot annual reports that are already overdue
- keep LLC and corporation deadlines apart in the same state
- export current statuses to CSV for counsel or investors
- work through entities with an unknown status by hand

## Example prompts
- \`/entity-compliance --init`, build the tracker from the entity table
- \`/entity-compliance --report --days 90`, what is due in the next 90 days
- \`/entity-compliance --sweep`, go through the unknown items one at a time

1. Load `~/.claude/plugins/config/claude-for-legal/corporate-legal/CLAUDE.md` → `## Entity Management` (entity table, jurisdictions, registered agent).
2. Route to the correct mode below based on flag:
   - No flag or `--init`: Mode 1 — initialize tracker from entity table
   - `--report`: Mode 2 — surface upcoming deadlines and overdue items
   - `--update`: Mode 3a (manual) or 3b (--from-report upload) — update status
   - `--sweep`: Mode 3c — walk through unknown/overdue items one by one
   - `--audit`: Mode 4 — full health audit
   - `--export`: Mode 5 — produce CSV or table export
3. Read/write `~/.claude/plugins/config/claude-for-legal/corporate-legal/entities/compliance-tracker.yaml`.
4. After any update: show summary of changes and next action.

## Purpose

Annual reports, franchise taxes, Statements of Information, biennial filings —
every entity in every state has its own schedule and its own consequences for
missing the deadline. This skill maintains a single YAML tracker that knows
what's due, when, and for which entity. It's lightweight by design: the tracker
is a file you own, Claude updates it on command, and you export it when you need
to share it.

## Important: deadline reference caveat

> dates can change. **Always confirm deadlines with your registered agent or
> directly with the relevant Secretary of State before relying on them for
