## What it does

The skill evaluates contract files in PDF, DOCX, or TXT formats against established risk patterns. To start the review, you supply the document and specify your role, such as contractor or client. You can also target specific jurisdictions, with built-in knowledge for the US, EU, China, and the UK. The generated Markdown report outlines severity-ranked red flags, missing sections, and strategic priorities for negotiation.

Operationally, the skill connects to the `office-mcp` server, relying on `extract_text_from_pdf` and `extract_text_from_docx` to parse raw documents. It scans provisions for unlimited liability, unilateral termination clauses, overbroad intellectual property assignment, and perpetual confidentiality traps.

The skill does not guarantee compliance and cannot replace qualified legal counsel. It serves as an early filter to catch one-sided terms before signing.

## Install

### Claude Code (native platform)

1. **Skills CLI (Vercel)**
```bash
npx skills add claude-office-skills/skills --skill contract-review -a claude-code
```

2. **Manually: put the files in place**
- File: `~/.claude/skills/contract-review/SKILL.md` — Copy the whole skill folder; for one project use .claude/skills/contract-review/

### Codex

1. **Skills CLI (Vercel)**
```bash
npx skills add claude-office-skills/skills --skill contract-review -a codex
```

2. **Manually: put the files in place**
- File: `.agents/skills/contract-review/SKILL.md` — For all projects use ~/.agents/skills/

### Cursor

1. **Skills CLI (Vercel)**
```bash
npx skills add claude-office-skills/skills --skill contract-review -a cursor
```

2. **Manually: put the files in place**
- File: `.cursor/skills/contract-review/SKILL.md` — Cursor also reads .agents/skills/ and .claude/skills/

### GitHub Copilot

1. **GitHub CLI**
```bash
gh skill install claude-office-skills/skills contract-review
```

2. **Manually: put the files in place**
- File: `.github/skills/contract-review/SKILL.md`

### Gemini CLI

1. **Skills CLI (Vercel)**
```bash
npx skills add claude-office-skills/skills --skill contract-review -a gemini-cli
```

2. **Platform CLI**
```bash
gemini skills install https://github.com/claude-office-skills/skills --path contract-review
```

### Windsurf (Devin Desktop)

**Manually: put the files in place**
- File: `.devin/skills/contract-review/SKILL.md` — The legacy .windsurf/skills/ path still works

### OpenCode

**Skills CLI (Vercel)**
```bash
npx skills add claude-office-skills/skills --skill contract-review -a opencode
```

### Claude.ai

**Claude.ai**
- Zip the folder and upload it in Settings → Capabilities → Skills

Where a file is given instead of a command, copy the files from the source to that path: https://github.com/claude-office-skills/skills/tree/HEAD/contract-review/SKILL.md

## When to use it
- detect unlimited liability and unilateral indemnification clauses
- uncover hidden auto-renewal terms and perpetual confidentiality requirements
- verify missing data protection language required by privacy regulations
- draft actionable counter-proposals for negotiating problematic clauses

## Example prompts
- Review this vendor-agreement.pdf from the buyer's perspective under US jurisdiction.
- Analyze offer-letter.docx for me as an employee and highlight intellectual property risks.
- Explain Section 5 regarding termination in plain terms.
