## What it does

The skill hands the agent working definitions for conflicts of interest: the Reg BI obligation (SEC Rule 15l-1) with its three tiers — disclose, mitigate, eliminate — the fiduciary duty of loyalty under IA Act Sections 206(1) and 206(2), compensation-based conflicts, proprietary products, principal trading and soft dollars.

It walks through the specific setups: commission versus fee-based pay, revenue sharing, 12b-1 fee trails, differential payouts across product types, transaction-based compensation. Proprietary and affiliated products get their own section, since the firm earns both the advisory fee and the product-level fee. Principal trading under Section 206(3) is covered too, where consent is needed per transaction rather than blanket advance consent.

Before giving advice, the skill tells the agent to verify effective dates, dollar thresholds and pending rulemakings against SEC, FINRA and FinCEN sources — the regulatory status in the text is dated June 2026. If you work with client transactions, that is your cue to check the current thresholds before trusting the answer.

npx skills add JoelLewis/finance_skills --skill conflicts-of-interest -a claude-code
```
2. **Manually: put the files in place**
- File: `~/.claude/skills/conflicts-of-interest/SKILL.md` — Copy the whole skill folder; for one project use .claude/skills/conflicts-of-interest/
### Codex
1. **Skills CLI (Vercel)**
```bash
npx skills add JoelLewis/finance_skills --skill conflicts-of-interest -a codex
```
2. **Manually: put the files in place**
- File: `.agents/skills/conflicts-of-interest/SKILL.md` — For all projects use ~/.agents/skills/
### Cursor
1. **Skills CLI (Vercel)**
```bash
npx skills add JoelLewis/finance_skills --skill conflicts-of-interest -a cursor
```
2. **Manually: put the files in place**
- File: `.cursor/skills/conflicts-of-interest/SKILL.md` — Cursor also reads .agents/skills/ and .claude/skills/
### GitHub Copilot
## When to use it
- decide whether a pay structure counts as a conflict of interest
- draft disclosure for revenue sharing and 12b-1 trails
- assess a recommendation of the firm's own funds
- check whether each principal trade needs client consent
- separate eligible from ineligible soft dollar spending
## Example prompts
- Is this a conflict: we pay reps more on annuities than on ETFs?
- How do we disclose revenue sharing for platform placement under Reg BI?
- Do we need client consent for every trade when we act as principal?
# Conflicts of Interest
Regulatory status current as of June 2026 — verify effective dates, dollar thresholds, and pending rulemakings against current SEC/FINRA/FinCEN sources before advising.
## Core Concepts
### Reg BI Conflict of Interest Obligation
Regulation Best Interest (SEC Rule 15l-1) requires broker-dealers to establish, maintain, and enforce written policies and procedures reasonably designed to identify and at a minimum disclose, or eliminate, all conflicts of interest associated with a recommendation. The obligation has three tiers: (1) disclose material conflicts, (2) mitigate conflicts that create an incentive to place the BD's interest ahead of the retail customer's interest, and (3) eliminate conflicts arising from sales contests, quotas, bonuses, and non-cash compensation that are based on the sale of specific securities or specific types of securities within a limited time period. The elimination requirement is absolute — disclosure and mitigation are insufficient for these enumerated conflicts.
