## What it does

The skill keeps a deal's closing checklist in a YAML file at `~/.claude/plugins/config/claude-for-legal/corporate-legal/deals/[code]/closing-checklist.yaml`, split into `conditions_precedent` and `closing_deliverables`. An item records an owner, a due date, a status, a `blocking` flag and a citation to the agreement section.

Four modes. One builds the list from the purchase agreement: conditions precedent, closing deliverables, covenants with a pre-closing deadline, each with a section cite. Two ingests new items from diligence findings, the material-contract schedule and the deal-team summary. Three rewrites an item when you hand it an id and a status update. Four runs when you pass nothing and reports blockers, the critical path and days to close.

On regulatory conditions it tells the agent to check the operative filing mechanics and timing against primary sources rather than reuse remembered numbers. There is no coding here: with no deal file under `deals/`, there is nothing to read.

## Install

### Claude Code (native platform)

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill closing-checklist -a claude-code
```

2. **Manually: put the files in place**
- File: `~/.claude/skills/closing-checklist/SKILL.md` — Copy the whole skill folder; for one project use .claude/skills/closing-checklist/

### Codex

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill closing-checklist -a codex
```

2. **Manually: put the files in place**
- File: `.agents/skills/closing-checklist/SKILL.md` — For all projects use ~/.agents/skills/

### Cursor

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill closing-checklist -a cursor
```

2. **Manually: put the files in place**
- File: `.cursor/skills/closing-checklist/SKILL.md` — Cursor also reads .agents/skills/ and .claude/skills/

### GitHub Copilot

1. **GitHub CLI**
```bash
gh skill install anthropics/claude-for-legal closing-checklist
```

2. **Manually: put the files in place**
- File: `.github/skills/closing-checklist/SKILL.md`

### Gemini CLI

1. **Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill closing-checklist -a gemini-cli
```

2. **Platform CLI**
```bash
gemini skills install https://github.com/anthropics/claude-for-legal --path corporate-legal/skills/closing-checklist
```

### Windsurf (Devin Desktop)

**Manually: put the files in place**
- File: `.devin/skills/closing-checklist/SKILL.md` — The legacy .windsurf/skills/ path still works

### OpenCode

**Skills CLI (Vercel)**
```bash
npx skills add anthropics/claude-for-legal --skill closing-checklist -a opencode
```

### Claude.ai

**Claude.ai**

## When to use it
- build a closing checklist from the purchase agreement
- see which items are blocking close
- pull a counterparty consent from diligence into the list
- update an item's status by its id
- work out days to close and the critical path

## Example prompts
- \`/corporate-legal:closing-checklist` — what's left to close?
- \`/corporate-legal:closing-checklist` add the counterparty consent from the diligence findings, it blocks closing
- \`/corporate-legal:closing-checklist <item ID> — consent received, clear the block`

1. Read `~/.claude/plugins/config/claude-for-legal/corporate-legal/deals/[code]/closing-checklist.yaml` and use the modes below.
2. If status update provided: Mode 3 (update item).
3. Otherwise Mode 4: blocking items, critical path, days to close.

## Matter context

**Matter context.** Check `## Matter workspaces` in the practice-level CLAUDE.md. If `Enabled` is `✗` (the default for in-house users), skip the rest of this paragraph — skills use practice-level context and the matter machinery is invisible. If enabled and there is no active matter, ask: "Which matter is this for? Run `/corporate-legal:matter-workspace switch <slug>` or say `practice-level`." Load the active matter's `matter.md` for matter-specific context and overrides. Write outputs to the matter folder at `~/.claude/plugins/config/claude-for-legal/corporate-legal/matters/<matter-slug>/`. Never read another matter's files unless `Cross-matter context` is `on`.

## Purpose

Deals close when the checklist is done. Everything on it, done. Nothing missing. This skill maintains the list, ingests new items as they surface from diligence, and tells the team what's blocking.

## The checklist

Lives at `~/.claude/plugins/config/claude-for-legal/corporate-legal/deals/[code]/closing-checklist.yaml`. Structure:

```yaml
deal_code: "Project Falcon"
target_close: [DATE]
signing_date: [DATE]
last_updated: [DATE]
conditions_precedent:
  - id: CP-001
    item: "HSR waiting period expiration"
    category: "Regulatory"
    responsible: "Buyer counsel"
    due: 2026-04-15
    status: "Filed 2026-03-01, waiting period runs"
    blocking: true
    source: "Purchase Agreement §7.1(a)"
  - id: CP-002
    item: "Acme Corp consent to assignment"
    category: "Third-party consents"
    responsible: "Target — Jane Doe"
    due: 2026-04-20
    status: "Request sent 2026-03-10, no response"
    blocking: true
    source: "Schedule 3.12(a)(4); Acme MSA §14.2"
closing_deliverables:
  - id: CD-001
