## What it does

The skill guides you through drafting an M&A sell-side memo across eight standard sections. It prompts for initial inputs first: historical financials covering 3–5 years, board decks, management presentations, budgets, and anonymized customer datasets. The generated draft spans from the executive summary and growth levers to operations and customer retention metrics.

It insists on verifiable figures over vague claims. Financial sections break down revenue by segment, detail EBITDA bridges, and isolate capital expenditures. The final deliverable includes a formatted Word `.docx` document and a separate Excel financial appendix.

Without audited numbers or concrete historical metrics, the narrative will fail to justify valuation expectations. The skill explicitly flags that pro forma adjustments and confidentiality disclaimers must be clearly marked.
